- 1. Preamble
- Polaris Shipping Co., Ltd (hereunder the “Company”) as a leading dry-bulk shipping company of Republic of Korea shall do due diligence for Company’s sound growth by endeavoring to keep creative value makings, to provide the best client service and to provide its employees with the best working environment. Company shall be in the first line for the settlement of fair trades by due compliances to all domestic and foreign laws, regulations, market orders and respect social values and practices. Company shall contribute to the development of nation and society by environment friendly management and various corporate social responsibility activities.
- 2. Client Services
- 2-1. Respect for clients
Company shall always do its utmost best to think and act in the view of its clients by providing satisfying and reliable
services.
2-2. Protection of clients
Company shall do the best to protect client’s safety, interests, personal information and shall not do unfair deeds.
2-3. Clients Satisfaction
Company shall keep its promises with clients and endeavor to give the most prompt and fair feedbacks to
complaints.
- 3. Ethics of Employees
- 3-1. Settlement of Sound Corporate Culture
① Employees shall be devoted to their roles by sharing company’s management philosophies, goals, values
and business policies.
② Employees shall develop a corporate culture based on smooth vertical & horizontal communications and mutual
trusts.
③ Employees shall do the best to conduct tasks in proper manners and observe law and company regulations related
to tasks.
3-2. Zero conflicts of interest
Employees shall endeavor to prevent any behaviors or relations against Company’s interests. When Company’s
interests conflict with employees’, employees shall put Company’s interests before theirs.
3-3. Protection both of Company properties and crucial information
① Employees shall protect company’s material properties, intellectual properties, business secret, etc. and shall not
use any of such for personal purposes.
② Employees shall not be involved in unfair trades for personal interest using one’s position power or confidential
internal information.
③ Employees shall not reveal any information which can possibly affect Company’s interest.
3-4. Zero Sexual Harassment
Employees shall not be involved in any physical, verbal, visual acts which can possibly be construed as cause of sexual
humiliation and do any other talk or behaviors that do harm on sound colleagueship.
3-5. No Participation in Politics
① Employees shall not be involved in any political activities inside Company and not make use of Company’s system,
labor and properties for political purposes.
② Employee’s political rights and opinions are to be respected but not to affect or to be miscomprehended as
company’s political stance.
3-6. No Give or Take of Money, Valuables or Treats
① Employees shall not take offers of money, valuable or treats from interested parties such as business account,
counter-parties, etc.
② Employees shall not offer money, valuable or treats to interested parties in business relationships, which are
beyond a socially accepted idea.
③ Employees shall not give or take excessive money, gift or treats one another.
3-7. Compliance with Ethics Regulation
① Employees shall observe all ethics regulations and take responsibilities for any violation of.
② Employees shall report to the team in charge of compliance task in case of witnessing violation or coercion of
such vio lation by third party.
③ In case of violation, employees shall take all necessary actions to prevent recurrence through a thorough
investigation and education.
- 4. Responsibilities of Company for Employees
- 4-1. Fair Treatment
① Company shall treat all employees equally and without any of discriminations and give equal opportunities
according to each employee’s ability and qualification.
② Company shall evaluate and compensate for each employee’s performance, ability and qualification by setting up
& applying fair evaluation standards.

② Company shall support employees’ growth and self-realization by giving fair opportunities to develop one’s

- 6. Responsibilities of Company for Society

Company as an entity of nation and local society shall observe and comply with all domestic and foreign
laws and regulations.

Company shall contribute to national economy and society by enhancing productivity, generating employment,
paying taxes faithfully and contributing to.
6-3. Preservation of Environment
① Company shall endeavor to fulfill environment-friendly management in order to protect nature and preserve
clean envi ronment.
② Company shall observe and comply with all environment laws and regulations, especially do utmost best to
protect marine environment.
- 1. Preamble
- These guidelines are to describe and define details related to Whistle-blowing and Protection of Whistle-blower under the provision of 5th clause of Article 6 in the Risk Management regulations.
- 2. Definitions
- Definitions of wording in this guidelines are as below:
1. Whistle-blowing means the act of rapid reporting by employees of cases or information of violation of related Laws,
malpractice of Code of Ethics and Ethics regulations by the interested parties or third parties to Risk management
department.
2. Disadvantageous Treatment means the act or all sort of such deeds which have or possibly have negative impacts on
work performance evaluation, promotion, deployment and work-environment or all other interests of Whistle-blowers.
- 3. Subject of Whistle-blowing
- 1. Violation of related Laws, malpractice of Code of Ethics and Ethics regulations
2. Deeds which cause losses to Company by Intentional or Gross negligence
3. Disadvantageous treatment, caused by the rejection of unlawful & inappropriate order or of engagement in
malpractices, related to work by manager or senior.
4. Sexual harassment, sexual discrimination
5. Disadvantageous treatment caused by just Whistle-blowing
6. Others cases which are thought to have possibilities of occurrences of the above
- 4. Procedures and Ways to Whistle-blow
- 1. Whistle-blowing to be made with one’s real name
2. Whistle-blowing shall provide concrete information and contents by the means of whistle-blower’s convenience – such
as post, telephone, FAX, E-Mail, etc.
3. Risk management department shall not reject any or all whistle-blowing regardless of the kinds of methods.
- 5. Due Diligence of Whistle-Blower
- Whistle-Blower shall not report falsely with intention of slander, defamation of employee(s).
- 6. Proceeding and Disposition of Whistle-Blowing
- 1. Risk management department will fulfill direct investigation or inspection, in receipt of
Whistle-blowing, in order to determine the authenticity.
2. Risk management department will report to the representative director without any delays.
3. In case of false and abusive Whistle-blowing, Risk management department is eligible to propose an opening of
personnel committee to take disciplinary action on the false Whistle-blower.
4. In case Whistle-blowing is thought to have a considerable preventing effect of losses or etc., Risk management
department is eligible to propose an opening of personnel committee to reward the Whistle-blower.
- 7. Protection of Whistle-Blower
- 1. Risk management department shall protect the identity of Whistle-blower thoroughly.
2. Whistle-blower or his/her assistant who provide related information or etc. shall not be treated disadvantageously.
3. In case of a report where Whistle-blower or his/her assistant is treated disadvantageously, Risk management
department is eligible to investigate to determine the authenticity.
